These Terms of Service ("Terms") govern access to and use of the ClinicX platform, website, and services (collectively, the "Service") operated by ClinicX ("ClinicX," "we," "us," or "our").
By accessing or using https://clinicx.io, you agree to be bound by these Terms.
If you do not agree, do not use the Service.
1. Description of the Service
ClinicX is a HIPAA-compliant healthcare software platform designed for clinics and licensed healthcare professionals to manage appointments, scheduling, and operational workflows, including integrations with third-party services such as Google Calendar.
ClinicX does not provide medical advice, diagnosis, or treatment and does not replace clinical judgment or professional decision-making.
2. Eligibility
You must:
- Be at least 18 years old
- Be a licensed healthcare professional, clinic, or authorized representative
- Have authority to use the Service on behalf of your organization
You are responsible for ensuring that your use of ClinicX complies with all applicable laws and professional regulations.
3. Account Registration & Security
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the confidentiality of your credentials
- You must notify ClinicX immediately of any unauthorized access or security breach
- ClinicX is not responsible for losses caused by unauthorized account use resulting from your failure to safeguard credentials
4. Google Calendar & Third-Party Integrations
ClinicX may integrate with third-party services, including Google Calendar.
By enabling integrations:
- You authorize ClinicX to access and process data as permitted by your consent
- You may revoke access at any time through your account or the third-party provider
- ClinicX is not responsible for third-party service availability, outages, or policy changes
ClinicX's use of Google data complies with the Google API Services User Data Policy, including Limited Use requirements.
5. HIPAA Compliance & Protected Health Information (PHI)
- ClinicX operates as a HIPAA-compliant platform
- Clinics and providers are responsible for ensuring lawful collection and use of PHI
- ClinicX processes PHI solely on behalf of clinics and covered entities
- Access to PHI is restricted to authorized users
- Business Associate Agreements (BAAs) are available upon request
ClinicX does not sell, share, or monetize PHI.
6. User Responsibilities
You agree to:
- Use the Service only for lawful healthcare operations
- Maintain compliance with HIPAA, GDPR, and applicable healthcare regulations
- Ensure proper authorization for all data entered into ClinicX
- Not misuse, interfere with, or attempt to reverse engineer the Service
- Not upload malicious code or engage in abusive activity
7. Prohibited Uses
You may not:
- Use the Service for illegal or unethical purposes
- Attempt to gain unauthorized access to systems or data
- Use ClinicX to provide medical care without proper licensure
- Circumvent security controls or access restrictions
- Use the Service to transmit harmful, deceptive, or infringing content
8. Fees & Payment (If Applicable)
Certain features may require payment under a subscription or usage-based plan.
- Fees are billed as agreed at the time of purchase
- Payments are non-refundable except where required by law
- ClinicX may modify pricing with reasonable notice
Failure to pay may result in suspension or termination of access.
9. Data Ownership & Rights
- Clinics and users retain ownership of their data
- ClinicX is granted a limited license to process data solely to provide the Service
- ClinicX may use aggregated, anonymized data for analytics and service improvement
ClinicX claims no ownership over patient or clinic data.
10. Service Availability & Modifications
ClinicX strives for high availability but does not guarantee uninterrupted service.
We may:
- Modify, update, or discontinue features
- Perform maintenance or security updates
- Temporarily suspend access for operational or legal reasons
11. Termination
ClinicX may suspend or terminate access if:
- These Terms are violated
- There is suspected misuse or security risk
- Required by law or regulation
Upon termination:
- Access to the Service will cease
- Data will be handled in accordance with our Privacy Policy and applicable law
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
ClinicX DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
ClinicX DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
13. Limitation of Liability
To the maximum extent permitted by law:
- ClinicX shall not be liable for indirect, incidental, or consequential damages
- ClinicX's total liability shall not exceed the amount paid by you to ClinicX in the 12 months preceding the claim
Nothing in these Terms limits liability where prohibited by law.
14. Indemnification
You agree to indemnify and hold harmless ClinicX from claims arising from:
- Your use of the Service
- Violation of these Terms
- Violation of applicable laws or professional obligations
15. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Changes to These Terms
ClinicX may update these Terms from time to time.
Continued use of the Service after changes constitutes acceptance of the updated Terms.
